Terms & Conditions

Effective Date: November 6, 2025

These Terms & Conditions (the "Terms") are a legal agreement between you and Foyer Tech, Inc. ("Thine," "we," "us," or "our") governing your access to and use of our websites, mobile applications, devices, and any related services that link to these Terms (collectively, the "Services"). By creating an account, installing or using the Services, or clicking "Accept," you agree to be bound by these Terms.

If you do not agree, do not use the Services.

Related policy: Use of the Services is also governed by the Thine Privacy Policy, which is incorporated by reference into these Terms. Please read it carefully.

1. Who May Use the Services

  • Age and capacity. You must be at least 18 years old and able to form a binding contract to use the Services.
  • U.S.-only. The Services are intended for use in the United States only and are not offered in the EEA/UK or other regions.
  • Business users. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Account Registration and Security

You must provide accurate information and keep it current. You are responsible for all activities that occur under your account and for maintaining the security of your credentials. Notify Thine immediately of any unauthorized use or suspected breach.

3. Recording Features, Consent and Your Responsibilities

The Services may access a device microphone to capture audio continuously or near-continuously ("always‑on") if you enable this setting.

  • Your consent. By enabling recording features, you expressly consent to audio capture, transcription, analysis, and creation of derivatives (e.g., summaries, speaker tags) as described in the Privacy Policy.
  • Bystanders/third parties. Recording laws vary by U.S. state; some require all‑party consent. You are solely responsible for complying with applicable law and obtaining all required consents from people who may be recorded. Thine offers tools (e.g., visual/audible indicators, meeting banners, consent links/QR, auto‑pause), but they do not replace your legal obligations.
  • Children. Do not use the Services to record children under 18. If you become aware that a minor's voice has been recorded, delete the item immediately and contact [email protected] if you need assistance.
  • Sensitive data. Refrain from recording highly sensitive personal information (e.g., bank/credit card numbers, account PINs/passwords, government ID numbers, detailed health or medical information, biometric identifiers, or other data that could cause harm if disclosed). If such information is recorded inadvertently, delete it promptly and contact [email protected] for help.
  • Controls. You can start/stop/pause recording, switch to Privacy Mode (temporarily disables audio capture), delete recordings and transcripts, opt out of model training, and configure retention, as described in the Privacy Policy.

4. Integrations (e.g., Google Calendar and Gmail)

If you connect third‑party integrations (such as Google Calendar or Gmail), you authorize Thine to access and process the limited data needed to provide features you select (e.g., labeling meetings, triggering recording, or preparing summaries). You may disconnect integrations at any time in Settings and through the third‑party account's security controls. Thine requests the minimum scopes necessary.

5. AI/LLM Features

The Services allow you to chat with large language models (LLMs) and to generate transcripts, summaries, and insights.

  • LLM processing. Your prompts and selected context (e.g., transcripts) are sent to one or more LLM providers solely to generate your response.
  • Model training by Thine. Thine may use your data to train and improve Thine models only with your consent. You can withdraw consent at any time as described in the Privacy Policy.
  • No professional advice. AI outputs may be inaccurate or incomplete. The Services do not provide professional advice (e.g., legal, medical, financial). You are responsible for evaluating outputs and using human judgment.

6. Voice Tagging and Biometric Information

If you opt in, Thine may create voice embeddings/voiceprints to tag speakers across your recordings for organization and search. You may withdraw consent in Settings. Thine does not sell biometric data and uses heightened safeguards and deletion practices described in the Privacy Policy.

7. Ownership of Data

  • Original Recordings (User‑Owned). The raw audio files captured from your device microphone via the Services (the "Original Recordings") are owned by you. Subject to your settings, you may download/export (if available), delete, or request deletion of the Original Recordings.
  • Non‑Anonymized Derivatives (User‑Owned; Licensed to Thine). Non‑anonymized outputs directly derived from your Original Recordings and tied to your account, such as transcripts, summaries, time stamps, and topic labels ("User Derivatives"), are owned by you. You grant Thine the license only to the extent necessary to operate, maintain, secure, and improve the Services for you (and, if you have consented, to train Thine models). This license ends when the applicable data is deleted from Thine systems (subject to lawful retention and backups).
  • Service‑Generated De‑Identified/Anonymized Data (Thine‑Owned). Data sets, analytics, embeddings, model features/weights, or other materials that are aggregated, masked, de‑identified, or anonymized so they do not reasonably identify you or another individual ("Anonymized Data") are owned by Thine and may be used for any lawful purpose, provided we do not attempt to re‑identify the data and we comply with the Privacy Policy and applicable law.
  • Third‑Party Content. Outputs provided by third‑party LLM or transcription providers are licensed per their terms, but Thine's contracts prohibit those providers from using your data to train their models unless you separately consent.
  • No Sale. Thine does not sell your personal information or your Original Recordings.

8. User Content and License to Thine

"User Content" means content you submit or make available through the Services, including Original Recordings and User Derivatives, notes, labels, and prompts. You retain your rights in User Content.

To operate and improve the Services for you, you grant Thine a worldwide, non‑exclusive, royalty‑free, transferable and sublicensable license to host, store, process, transmit, display, and create necessary technical derivatives from your User Content solely to (a) provide and maintain the Services; (b) secure and troubleshoot; (c) comply with law; and (d) if and only if you have consented, train and improve Thine models. This license does not transfer ownership of your Original Recordings or User Derivatives, and it ends for specific items when you delete them from the Services (allowing for reasonable time to propagate to backups and processors as described in the Privacy Policy).

"Anonymized Data," is owned by Thine. You acknowledge that Thine may use Anonymized Data for any lawful purpose, provided we do not attempt to re‑identify it.

9. Acceptable Use

You will not, and will not permit others to:

  • Violate any law (including federal/state wiretap/recording laws), third‑party rights, or these Terms;
  • Record where prohibited or without required consent;
  • Access or use the Services to develop a competing product; reverse engineer or attempt to derive source code (except where prohibited restrictions are unenforceable);
  • Interfere with or disrupt the Services; introduce malware; or attempt to bypass security;
  • Use the Services to transmit unlawful, infringing, or harmful content.

10. Ownership; Feedback

As between you and Thine, you own User Content (including Original Recordings and User Derivatives) as described above. Thine and its licensors own the Services, documentation, software, and Anonymized Data, as well as any improvements, modifications, or derivative works to the foregoing (excluding your User Content). Nothing in these Terms transfers ownership of one party's materials to the other except as expressly stated.

If you provide suggestions or feedback, you grant Thine a perpetual, irrevocable, worldwide, royalty‑free license to use them for any lawful purpose.

11. Third‑Party Services & Links

Third‑party services (including LLMs and integrations) are governed by their own terms and privacy policies. Thine is not responsible for third‑party services and does not control their content or practices.

12. Beta/Pre‑Release Features

We may offer alpha, beta, or pre‑release features ("Beta Features"). Beta Features are provided as is for evaluation and may be modified or discontinued at any time.

13. Subscriptions, Fees and Taxes

  • Billing. Paid plans are billed in advance on a recurring basis unless otherwise stated. You authorize Thine (and its payment processors) to charge your payment method for applicable fees, taxes, and charges.
  • Trials and renewals. Trials convert to paid plans unless canceled before the trial ends. Plans auto‑renew unless canceled in your account or as otherwise permitted by the store where you purchased.
  • Refunds. Except as required by law or expressly stated, fees are non‑refundable.
  • Changes. We may change prices or plan features with reasonable notice; changes take effect on the next billing cycle unless stated otherwise.

14. Availability; Modifications; Support

We may modify, suspend, or discontinue the Services (or any part) with or without notice. Thine is not liable for downtime or feature changes. For support, contact [email protected].

Your privacy is explained in the Thine Privacy Policy. By using the Services, you agree to the Privacy Policy.

We will acknowledge receipt within 10 business days and aim to respond with findings or next steps within 45 days (or inform you if we need more time as permitted by law).

16. DMCA Notice

If you believe content on the Services infringes your copyright, send a DMCA notice to DMCA Agent: Foyer Work Inc. at [email protected] or the mailing address above including: (a) your signature; (b) identification of the work and allegedly infringing material; (c) contact information; (d) statement of good‑faith belief; and (e) statement under penalty of perjury that your notice is accurate and you are authorized to act.

17. Disclaimers

THE SERVICES, BETA FEATURES, AND ALL CONTENT (INCLUDING AI OUTPUTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THINE AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THINE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL THINE'S TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID TO THINE FOR THE SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR $100, WHICHEVER IS GREATER. SOME STATES DO NOT ALLOW LIMITATIONS OF LIABILITY; THESE LIMITATIONS MAY NOT APPLY TO YOU.

19. Indemnification

You will defend, indemnify, and hold harmless Thine and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your failure to obtain required consents for recording.

20. Governing Law; Dispute Resolution; Arbitration

Law and venue. These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law. Subject to arbitration, courts in Delaware have exclusive jurisdiction.

Binding arbitration; class waiver. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. YOU AND THINE AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS ONLY; CLASS ACTIONS AND JURY TRIALS ARE WAIVED. You may opt out of arbitration by sending written notice to [email protected] within 30 days of first accepting these Terms.

Injunctive relief. Either party may seek temporary or preliminary injunctive relief in court to protect its rights pending arbitration.

21. Export & Sanctions

You may not use or export the Services in violation of U.S. export control or sanctions laws. You represent that you are not located in a restricted country or on a denied party list.

22. App Stores (Apple & Google)

If you downloaded the app from the Apple App Store, you acknowledge Apple is not a party to these Terms and has no obligation to provide support or maintenance; Thine (not Apple) is responsible for the app and its content. Apple and Apple's subsidiaries are third‑party beneficiaries who may enforce these Terms against you. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. You must use the app in accordance with the App Store Terms of Service. Similar terms apply for the Google Play Store and its Terms of Service.

23. Termination

We may suspend or terminate your access at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (e.g., ownership, disclaimers, limitations, indemnities, arbitration) will survive.

24. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Effective Date." Material changes will be notified via the Services or email. Your continued use after changes become effective constitutes acceptance.

25. Assignment

You may not assign these Terms without Thine's prior written consent. Thine may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

26. Miscellaneous

These Terms (together with the Privacy Policy and any order forms) constitute the entire agreement between you and Thine and supersede prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. No waiver is effective unless in writing. There are no third‑party beneficiaries except as expressly stated.
